Terms and Conditions

Orders

All orders must be submitted in writing by USMail, Fax, or E-mail. Claridge will send an acknowledgment on each order. It is the Customer’s sole responsibility to check quotes, orders and the corresponding acknowledgments for accuracy. Orders will not be scheduled until all required information is received. Minimum order of $25.

Acknowledgments & Lead Times

Upon credit approval, orders will be manufactured and invoiced based upon the information on the acknowledgment. It is the Customer’s responsibility to notify Claridge of any acknowledgment discrepancies. Actual shipment dates may differ from acknowledged dates due to lack of credit approval. If an order is subject to a credit hold, it will be scheduled for shipment only after it is released from credit hold.

Specification Changes

Claridge reserves the right to institute changes to material, parts, or design as well as to discontinue models, options, and/or parts without any prior notice. Prices are subject to change without notice.

Quotes

Prices are valid for 15 days and for the quantities listed on the quote request unless otherwise noted. All prices are quoted in US Dollars. Any special requests that were not noted on the quote request may incur an additional fee.

Change Orders

Claridge reserves the right to apply additional charges to the invoice for orders revised after manufacturing has begun. All changes must be in writing.

Terms

For credit approved customers, all merchandise will be invoiced when shipped, with standard terms of net 30 Days. The Customer agrees that Claridge shall have the right to assess interest charges of 1.5% per month on invoices not paid and received by Claridge within terms. The Customer further agrees that Claridge has the right to change terms, suspend shipments, or refuse orders from any delinquent account.

Security

The Customer agrees that Claridge maintains a security interest in all merchandise sold to the Customer until all monies have been paid to Claridge for said merchandise.

Cancelation

All orders are considered firm and cannot be canceled except by consent from Claridge. Claridge reserves the right to assess a Cancellation Fee for any order canceled by the Customer.

Freight Policy

Every effort will be made to ship in accordance with customer requested freight carriers. Claridge is not responsible for damage in shipment when the product is shipped on a third party or collect basis. In the event of visible freight damage, Consignee should note the damage on the freight bill and notify the carrier at once for inspection. Note that carriers require reports of damage within 5 days. Failure to report visible damage or loss is the Consignee’s responsibility. Concealed damage identified after 5 days from receipt is the sole responsibility of the Consignee.

Ship Dates & Delays

If Claridge cannot ship products as scheduled due to causes beyond its reasonable control (force majeure), the ship date will be extended to compensate for the delay as determined by Claridge.

Re-Delivery of Freight

Two weeks’ notice is required when redelivery of merchandise will be required, or the actual cost for freight, restocking, and re-handling, and storage, if applicable, will be billed to the customer.

Returns

Many Claridge products are made-to-order and may not be returned. Claridge reserves the right to refuse return of custom-made or specialty merchandise. All approved returns must be prepaid by the Customer and are subject to a restocking charge of no greater than 25%. Merchandise must be returned unused and properly packaged in original shipping carton.

Warranty Overview

Generally, Claridge porcelain enamel steel markerboard and chalkboard writing surfaces carry a Limited Warranty for the Life of the Building. Glass writing surfaces have a Limited Warranty for ten(10) years from the date of purchase. Other products and build components generally carry a one-year Limited Warranty against defects in materials and workmanship. Please contact us for complete details of our Limited Warranty Terms.

Custom Products

Modifications to standard products are available. Contact the Claridge location nearest you for quotations. When custom graphics or custom logos are part of any order, Customer asserts that it owns or has been licensed the right to any marks or copyrights being used byClaridge at Customer’s request. Customer agrees to fully indemnify Claridge for any dispute related to the ownership of, or royalties due on, the marks or copyrights.

Material Disclaimer

Slight color variations may occur on surface materials. Claridge cannot be held responsible for reasonable variances.

C.O.M. & Special Disclaimer

Claridge cannot be held responsible for special fabrics that, in our opinion, would create unsatisfactory results for the intended application using normal manufacturing methods. Sampling may be required.

Sales and Use Tax

In jurisdictions where Claridge is registered to collect sales & use tax (SUT), Claridge will charge any applicable taxes on non-exempt orders per the SUT rate and requirements of the local jurisdiction. A current tax exemption or resale certificate must be provided to Claridge, prior to invoicing, if the Customer claims exemption from SUT. In jurisdictions where Claridge does not have a SUT registration, the Customer is responsible for collecting and remitting all applicable SUT directly to its taxing authority.

Sales and Use Tax

In jurisdictions where Claridge is registered to collect sales & use tax (SUT), Claridge will charge any applicable taxes on non-exempt orders per the SUT rate and requirements of the local jurisdiction. A current tax exemption or resale certificate must be provided to Claridge, prior to invoicing, if the Customer claims exemption from SUT. In jurisdictions where Claridge does not have a SUT registration, the Customer is responsible for collecting and remitting all applicable SUT directly to its taxing authority.

Limitation of Liability

Claridge’s maximum cumulative liability to Customer shall not exceed the monetary amount of the purchase price of the goods claimed to be defective. This is Customer’s sole and exclusive remedy. Customer is not entitled to consequential or special damages.

Other

These terms and conditions are hereby incorporated into all purchase orders, quotes, order acknowledgments and subsequent actions related to any products sold by Claridge. These terms and conditions supersede any conflicting terms and conditions in Customer’s purchase order. Claridge reserves the right to alter, change, modify, expand, or discontinue any of the policies and/or programs set forth above.
